Terms of services

These Terms of Service (“Terms”) govern access to and use of the Dalta platform by business customers. By creating a workspace, clicking “I agree,” or using the Service, Customer agrees to these Terms.

Parties & Contract

  • Provider: Dalta, 21 rue Visconti, 75006 Paris, France (“Dalta,” “we,” “us”).

  • Customer: the entity or organization that creates a workspace or signs an order.

  • If you use the Service on behalf of an organization, you represent you have authority to bind it.

The Service

The “Service” is Dalta’s workflow platform (visual builder + AI agents) for automating M&A work, including retrieval, generation with per-fact citations, audit logs, and exports to PPTX/DOCX/PDF/TXT templates. We may update or improve the Service; we won’t materially degrade core functionality.

Accounts, Eligibility, Access

B2B only. Users must be 18+. Customer is responsible for its users’ actions and for keeping credentials secure. Workspaces may have unlimited seats. Google SSO is supported. We may suspend or terminate access if there is a security risk, legal issue, non-payment, or breach of these Terms.

Customer Data, Outputs & Privacy

  • Customer Data means content Customer uploads or provides (documents, variables, prompts, configuration, etc.). Outputs are results generated for Customer from Customer Data and permitted sources.

  • Ownership. Customer retains all rights in Customer Data and Outputs. Dalta owns the Service and underlying IP.

  • Processing roles. For workspace Customer Data, Dalta acts as processor; for website, billing, and support data, Dalta acts as controller.

  • Data location & security. Primary storage is in the EU; data is encrypted in transit and at rest.

  • Model training. We never train our models on Customer’s private data.

  • DPA. The Data Processing Addendum
    is incorporated by reference; a countersigned DPA is available on request.

  • Retention. Unless agreed otherwise, runs/logs are retained 30 days; backups are securely deleted on a rolling basis thereafter.

Sources & Responsible Use

Customer configures which sources the Service may use (e.g., private documents, scoped web/deep search, LinkedIn via user-provided URLs or compliant integrations). Customer is responsible for having lawful rights to process any personal or third-party data it provides and for reviewing Outputs before relying on them.

Acceptable Use

Customer will not: (a) violate laws; (b) infringe IP or privacy; (c) probe or disrupt the Service; (d) attempt to bypass rate limits or security; (e) resell or compete by replicating features; (f) upload sensitive data that Customer is not authorized to process; (g) rely on Outputs as legal, financial, investment, or compliance advice. Beta features are provided as-is.

Subprocessors & Vendors

We use vetted subprocessors to deliver the Service, including hosting and AI vendors (e.g., AWS, OpenAI, Anthropic, XAI/Grok) and Framer (for the public website). We maintain a public list of subprocessors and will notify Customer of material changes. Where transfers outside the EEA occur, we use SCCs or equivalent safeguards. Primary storage remains in the EU.

Trials, Plans, Billing & Taxes

  • Plans. Month-to-month by default; annual prepay available.

  • Trials/Pilots. May be free or discounted and are provided as-is.

  • Billing. Fees are charged via Stripe or invoice/wire (Net 30 days unless stated otherwise).

  • Taxes. Fees are exclusive of taxes; Customer is responsible for VAT and applicable taxes.

  • Fees are non-refundable except where required by law. Late amounts may incur interest or suspension.

  • No formal SLA in this ToS ; enterprise SLAs may be agreed separately.

Confidentiality

Each party will protect the other’s Confidential Information using reasonable measures and not disclose it except to personnel and subprocessors who need to know it to perform under these Terms.

Security, Incidents & Disclosure

We maintain industry-standard technical and organizational measures (encryption, access controls, audit logs). We will notify Customer of a personal-data breach without undue delay at thomas@dalta.ai (or the security contact Customer designates).

IP Rights & Feedback

Except for limited rights expressly granted, no licenses are implied. Customer grants Dalta a non-exclusive, worldwide, royalty-free license to use feedback to improve the Service (without disclosing Customer Data).

Warranties & Disclaimers

We warrant we will provide the Service with reasonable skill and care. Otherwise the Service is provided “as is.” Dalta disclaims all other warranties, including fitness for a particular purpose and non-infringement. Outputs are assistive and require human review; Dalta does not provide legal, financial, or investment advice.

Indemnities

  • By Customer. Customer will indemnify Dalta for claims arising from Customer’s unlawful data, misuse, or violation of these Terms.

  • By Dalta. Dalta will indemnify Customer for third-party claims that the Service (as provided by Dalta) infringes IP rights, excluding claims based on Customer Data, misuse, or combinations not supplied by Dalta. Dalta may procure a license, modify, or replace the Service to resolve a claim.

Limitation of Liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages; (b) each party’s aggregate liability is capped at the fees paid by Customer to Dalta in the 12 months before the event giving rise to liability. These limits do not apply to unpaid fees, breach of confidentiality, or indemnities.

Term, Renewal, Termination

  • Term. Month-to-month unless an Order Form states otherwise; annual plans auto-renew for successive terms unless cancelled.

  • Cancellation. Customer may cancel at any time; cancellation takes effect at the end of the current billing period.

  • Termination for cause. Either party may terminate for material breach not cured within 30 days after notice, or immediately for unlawful use or security risk.

  • Effect. Upon termination, Customer can export its data; Dalta will delete workspace Customer Data within 30 days, with backups purged on their normal schedule.

Data Export & Deletion

During the subscription and for 30 days after termination, Customer may export Customer Data and Outputs in available formats. After deletion, recovery is not guaranteed.

Publicity

We may state that the Service is “used by analysts at” certain firms (without implying endorsement). Logos or public case studies require prior written consent.

Order of Precedence & Changes

If there is a conflict: Order Form (if any) → DPA → These Terms → online documentation. We may update these Terms; material changes will be notified by email or in-app, with the effective date stated. Continued use after the effective date constitutes acceptance.

Export Controls & Sanctions

Customer will comply with applicable export, import, and sanctions laws and will not use the Service in embargoed or restricted jurisdictions.

Government End-Users

The Service is provided with restricted rights; government use is subject to these commercial Terms.

Open-Source Notices

The Service may include open-source software subject to their licenses; we provide notices upon request.

Miscellaneous

  • Governing law & venue. These Terms are governed by French law; exclusive jurisdiction lies with the courts of Paris, France.

  • Assignment. Customer may not assign these Terms without Dalta’s consent; Dalta may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.

  • Force majeure. Neither party is liable for delays due to events beyond reasonable control.

  • Severability; No waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver.

  • Notices. Legal notices to Dalta: contact@dalta.ai (or as posted). Operational or security notices: thomas@dalta.ai

  • Entire agreement. These Terms, any Order Form, and the DPA are the entire agreement regarding the Service.
